Accounting Integration Terms of Use.

1. Agreement and scope

These Terms of Use and End-User License Agreement (“Terms”) govern use of the Headings Accounting Assistant (the “App”), provided by Headings Helicopters (“Headings,” “we,” “us,” or “our”). The App is an internal business tool available only to Headings and users expressly authorized by Headings.

By accessing or using the App, you agree to these Terms. If you are not an authorized Headings user or do not agree, do not use the App.

2. Limited license

Subject to these Terms, Headings grants authorized users a limited, revocable, non-exclusive, non-transferable license to use the App solely for legitimate Headings business purposes. No ownership rights are transferred.

3. Authorized use

Authorized users may use the App for approved bookkeeping support, record lookup, reporting, reconciliation assistance, anomaly review, and categorization suggestions. Users must follow Headings security, accounting, privacy, and approval policies.

4. Read-only limitation and financial decisions

The production connector is designed for read-only QuickBooks access and does not create, edit, delete, reconcile, approve, send, or post transactions. App output is decision support and may contain errors or require professional judgment. Users must verify material information against QuickBooks and obtain appropriate review for tax treatment, capitalization, payroll, regulatory compliance, or other consequential accounting decisions.

5. Prohibited conduct

You may not:

  • use the App without authorization or for unlawful purposes;
  • share credentials, tokens, or access with unauthorized persons;
  • attempt to bypass security, access controls, or usage limits;
  • introduce malicious code or interfere with the App, QuickBooks, or related systems;
  • use App output as a substitute for required professional accounting, tax, legal, or regulatory advice; or
  • copy, resell, sublicense, or commercially distribute the App without written permission.

6. QuickBooks and third-party services

The App interoperates with QuickBooks Online and may rely on other service providers. Intuit is not responsible for the App. QuickBooks and Intuit names and marks belong to Intuit Inc. Your use of QuickBooks remains subject to your agreement with Intuit. Third-party availability and functionality may change without notice.

7. Ownership

The App, its software, workflows, documentation, and related intellectual property are owned by Headings or its licensors. Headings and its users retain their rights in business data. Intuit retains its rights in QuickBooks and related services.

8. Confidentiality and privacy

Users must protect confidential business, customer, vendor, employee, and financial information. Our handling of information through the App is described in the Headings Accounting Assistant Privacy Policy.

9. Availability and changes

We may modify, suspend, restrict, or discontinue the App or any feature at any time. We may revoke access when authorization ends, security is at risk, these Terms are violated, or business needs change.

10. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADINGS AND ITS AFFILIATES, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM THE APP. Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Indemnification

To the extent permitted by law, users agree to be responsible for losses caused by their unauthorized, unlawful, or materially improper use of the App.

13. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute shall be brought in a court of competent jurisdiction in Illinois unless applicable law requires otherwise.

14. Changes to these Terms

We may update these Terms as the App or applicable requirements change. Continued use after an update constitutes acceptance of the revised Terms.
